Opportunity Zone Hotels: Deferring Gains While Building Wealth

By Vinney Chopra

Grand hotel exterior under a clear sky illustrating opportunity zone hotel investing

Myth: Opportunity Zones quietly expired, and opportunity zone hotel investing is a story from a few years ago.

The truth is the opposite, my friends. The program is now permanent, and hotels may be one of its best fits.

Many investors read that the original deadlines were ending, and they assumed the whole idea was finished.

Then Congress passed the One Big Beautiful Bill Act (OBBBA) in July 2025.

That law made the Opportunity Zone program a permanent part of the tax code.

So if you have large capital gains sitting on paper, this tool deserves a fresh look.

Let me show you why a renovated hotel and an Opportunity Zone can work so well together.

What Is Opportunity Zone Hotel Investing?

An Opportunity Zone is a census tract designated by the government to attract long-term private investment.

You invest through a Qualified Opportunity Fund (QOF), a partnership or corporation that holds qualifying property in those zones.

Opportunity zone hotel investing simply means that fund owns and improves a hotel located inside a designated zone.

The tax benefits come from rolling a capital gain into that fund, not from the hotel itself.

If you want the big-picture basics first, read how Opportunity Zones turn taxes into wealth.

Here, I focus on the hotel side.

What Did OBBBA Change for Opportunity Zones?

Under the original rules, deferred gains were scheduled to come due at the end of 2026.

That deadline is a big reason people believed the program was dying.

OBBBA changed the picture in a few important ways, described here in general terms:

  • The Opportunity Zone program is now permanent instead of expiring.
  • Zones are designated on a rolling basis, with new maps every 10 years.
  • Gains invested after 2026 can generally be deferred for 5 years from the investment date.
  • A partial basis step-up after 5 years has returned, with a larger one for rural funds.
  • The classic 10-year hold benefit remains in place.

The new zone maps and transition dates have details that matter for your situation.

Please confirm the specifics with your CPA before you act, because timing is everything here.

How Do the Three Opportunity Zone Tax Benefits Work?

Think of the Opportunity Zone as three gifts stacked on top of each other.

Gift one is deferral. You do not pay tax on the gain you roll in until the deferral period ends.

Gift two is a possible reduction. Holding at least 5 years can raise your basis in the deferred gain, so less of it is taxed.

Gift three is the big one. Hold the fund interest at least 10 years, and you can generally elect to step up its basis to fair market value.

That election can eliminate federal tax on the appreciation of the Opportunity Zone investment itself.

Taxes you defer buy you time, but growth you never pay tax on builds a legacy. โ€” Vinney Chopra

Why Do Hotels Fit the Substantial Improvement Test?

Here is where hotels really shine.

A QOF generally cannot just buy an existing building and sit on it.

It must either be the original user of the property or substantially improve it.

In general terms, substantial improvement means investing roughly as much into the building as you paid for it, within a set window.

Land does not count toward that basis, which makes the math easier on many properties.

Now think about my business model at Moneil.

We buy off-market, distressed and foreclosed hotels at a discount.

Then we renovate them heavily and convert them to name brands like Marriott, Hilton and IHG.

That renovation is not optional. The brand requires it through a property improvement plan.

So the work a reflagged hotel needs anyway can line up naturally with what an Opportunity Zone requires.

Can You Still Use Cost Segregation and Bonus Depreciation?

Yes, in general. An Opportunity Zone hotel is still a hotel for depreciation purposes.

The building depreciates over 39 years, while furniture, fixtures and site work can be much shorter.

A cost segregation study commonly reclassifies roughly 25% to 40% of a hotel’s depreciable basis into shorter lives.

Under OBBBA, 100% bonus depreciation is back for qualified property acquired and placed in service after January 19, 2025.

See how cost segregation saves accredited investors in taxes and the IRS rules in Publication 946.

For a passive LP, those depreciation losses are generally passive, so they offset passive income rather than W-2 wages.

And when you hold 10 years and make the basis election, the usual sting of depreciation recapture may be reduced or avoided on the fund interest.

That interaction is technical, so this is exactly the kind of question for your CPA.

A Hypothetical Opportunity Zone Hotel Investing Example

Let me walk through a simplified, purely hypothetical illustration with round numbers.

Say you sell a stock portfolio in 2027 and realize a $500,000 long-term capital gain.

Within 180 days, you invest that $500,000 gain into a Qualified Opportunity Fund that renovates a hotel.

Assume a combined federal rate of 23.8% (20% capital gains plus 3.8% net investment income tax).

Also assume a 10% basis step-up applies after 5 years, so $450,000 of the deferred gain is taxed in year 5.

Finally, assume your fund interest grows to $900,000 by year 10, a $400,000 gain.

To keep it apples to apples, assume any tax due is paid from other funds, so both paths invest the full $500,000.

Hypothetical itemPay tax now, invest normallyInvest gain in a hotel QOF
Tax on original $500,000 gain$119,000 in year 1$107,100 in year 5 ($450,000 x 23.8%)
When that tax is dueRight awayDeferred about 5 years
Tax on $400,000 of later growth$95,200 ($400,000 x 23.8%)$0 federal, with 10-year election
Total federal tax in this example$214,200$107,100

In this illustration, the Opportunity Zone path cuts the federal tax roughly in half and delays the first payment.

Real results depend on the deal, the exit value, your state and the rules in effect.

Nothing here is a promise.

Who Should Consider Opportunity Zone Hotel Investing?

This strategy fits a specific kind of investor, and it is not for everyone.

  • You have a meaningful capital gain from stock, a business sale, crypto or real estate.
  • You can leave money invested for 10 years or more.
  • You qualify as an accredited investor under SEC rules.
  • You want real assets with renovation upside, not just a paper deferral.

Here is the rule many people miss: you must invest the gain, not just cash.

If you put in money that is not an eligible gain, that portion generally gets no Opportunity Zone benefits.

You also generally have 180 days from the sale to invest, with special timing rules for some partnership gains.

Miss that window, and the opportunity is gone for that gain.

What Risks Should You Weigh?

I always teach my Mastermind Family to look at risk before reward.

The 10-year hold is a long commitment, and hotel interests are not very liquid. Read are hotel investments liquid before you commit.

My usual hotel model is to exit in 3 to 5 years, so an Opportunity Zone hotel requires a different, longer plan.

Some zones are still emerging neighborhoods, so location and demand drivers matter even more.

The fund must also meet ongoing compliance tests, and mistakes can cost investors the benefits.

That is why sponsor experience and underwriting matter so much.

Before you invest, review how to evaluate a real estate syndication and whether hotels are too risky.

And if your goal is a shorter hold, a 1031 exchange or other strategies may fit better.

For the broader case for owning hotels, see why hotels may be the best real estate tax shelter.

Frequently Asked Questions

Is the Opportunity Zone program still active?

Yes. OBBBA made the program permanent, with rolling 10-year zone designations.

Gains invested after 2026 generally qualify for a 5-year deferral, so confirm current details with your CPA.

Can I invest cash I already have into an Opportunity Zone hotel?

You can invest cash, but only the portion representing an eligible capital gain gets the tax benefits.

That gain generally must be invested within 180 days of the sale.

Why are hotels a good match for Opportunity Zones?

A QOF generally must substantially improve existing property, roughly doubling its building basis.

Renovating and reflagging a hotel to a major brand requires heavy improvement anyway, so the strategies can align.

Do I lose depreciation benefits in an Opportunity Zone hotel?

Generally no. The hotel can still use cost segregation and bonus depreciation where eligible.

For passive LPs, those losses are generally passive, and the 10-year exit rules should be reviewed with your CPA.
